These Terms & Conditions govern your use of the Intent REI LLC website and private member workspaces. By using the website or a workspace, you agree to these Terms. If you do not agree, please do not use them.

1. WEBSITE PURPOSE

This website provides general information about Intent REI LLC, its acquisition interests, and property opportunities it may review or present. Website content is not a binding offer, acceptance, contract, appraisal, inspection, valuation, or commitment to purchase or sell property. A property-related transaction exists only through separate written documents signed by the applicable parties. Nothing on this website is an offer to sell securities or an interest in a pooled investment.

2. ELIGIBILITY

You must be at least 18 years old and legally able to provide the requested information to create a member account, apply for private access, submit a property, join the buyers list, or request information about an opportunity.

3. INTENT REI’S ROLE

Depending on the transaction, Intent REI LLC may participate as a prospective purchaser, property owner, seller, contract holder, assignor, or other principal. A contemplated assignment, double close, wholesaler-partner fee split, or other transaction structure is not approved or determined lawful merely because the website can record or calculate it. Intent REI's specific role and the nature of any interest it holds will be described in applicable transaction materials. Using this website does not create a brokerage, agency, fiduciary, partnership, joint-venture, or advisory relationship unless a separate written agreement expressly provides otherwise.

4. PRIVATE ACCOUNTS AND PORTAL STATUS

One authenticated Wix member identity may hold separately controlled investor, seller, administrator, or wholesaler-partner access. Investor and seller members may apply through the available access flow. Administrator and wholesaler-partner access requires an explicit restricted role record and, for a wholesaler partner, an assigned deal. Intent REI reviews and administers each role separately and may approve, withhold approval, pause, restore, revoke, limit, or otherwise administer workspace access in its discretion, subject to applicable law. You are responsible for maintaining the confidentiality of your credentials, for activity under your account, and for promptly reporting suspected unauthorized access.

Account Settings may store member presentation details and communication preferences. Wix owns the login email and password; this portal does not currently receive or edit that login address. A saved email or text preference does not mean that a delivery system is active or that any message has been sent.

Account messages are asynchronous operational communications. A property-linked message, read indicator, notification, or Wix Inbox synchronization status does not reserve a property, submit an offer, create a duty to respond, or guarantee response timing or delivery. Keep each conversation relevant to its selected property and do not transmit passwords, banking credentials, access codes, Social Security numbers, or unrelated sensitive information through the workspace.

An application, approval, workspace label, saved or distributed opportunity, note, property-review or workflow status, publication state, wholesaler assignment, acknowledgment, calculator result, contract-tracking state, or other portal record is an operational indicator only. It does not create or communicate an offer, acceptance, appraisal, property valuation, brokerage or agency relationship, fiduciary duty, partnership or joint venture, transaction priority, commitment to purchase or sell, executed document, cleared title, transfer of funds, assurance of further review, or assurance that a transaction will close. Any binding obligation requires separate written documents signed by the applicable parties.

5. PROPERTY INFORMATION AND INDEPENDENT REVIEW

Property information may come from owners, public records, service providers, or other third parties. It may be incomplete, change without notice, or become unavailable. Intent REI does not guarantee a property’s condition, title, zoning, value, financing, availability, suitability, projected performance, or closing outcome through website content. Interested parties are responsible for their own review and for obtaining appropriate inspections, title information, financing guidance, and legal, tax, accounting, or other professional advice. Nothing in these Terms limits a disclosure, duty, remedy, or legal right that cannot lawfully be waived.

Public opportunity information may be a reviewed, generalized projection of a private property record. The current workflow is designed to omit seller identity and contact details, member identifiers, internal notes, source-record identifiers, and the exact address unless a separate authorized process determines otherwise. Generalized location, price, repair, after-repair value, zoning, or other opportunity details remain estimates or reported information that require independent verification.

6. PROPERTY SUBMISSIONS

Submitting property information through a public form or the seller workspace authorizes Intent REI to review the information and contact you about the submission. A submission or staff-assigned review status does not create an offer, acceptance, valuation, agency relationship, transaction commitment, or obligation to proceed. You represent that you are the property owner or are authorized to provide the submitted information, and that the information is accurate to the best of your knowledge.

An approved seller may upload supported property photos and documents through the private workspace. You represent that you are authorized to provide the files and their contents and that doing so does not violate another person's rights or applicable law. Do not enter or upload Social Security numbers, banking credentials, door or alarm codes, unredacted identity documents, malware, or unrelated highly sensitive information. Private seller files are not automatically approved for public use; any public image or property package requires a separate review and publication action.

7. BUYERS LIST AND COMMUNICATIONS

Joining the buyers list allows Intent REI to contact you using the information you provide regarding potential opportunities and related business communications. Joining does not guarantee that you will receive an opportunity, that an opportunity will match your criteria, or that you will be selected for a transaction. You may request removal from promotional communications at any time.

An approved investor may also see a member-specific sanitized property distribution in the investor workspace. A distribution record or status does not guarantee an email or text message, continued availability, selection, exclusivity, a response, or a transaction. Availability windows and access may change or expire.

8. NO PROFESSIONAL ADVICE OR PERFORMANCE GUARANTEE

Website content is not legal, tax, accounting, lending, investment, or financial advice. Intent REI does not guarantee appreciation, cash flow, profit, return, financing, or transaction completion. Consult qualified independent professionals before making a real estate or financial decision.

Administrator calculators perform arithmetic using entered assumptions for wholesale assignments, double closes, and fix-and-flip scenarios. Outputs are estimates, not an appraisal, offer, accounting record, profit guarantee, or a conclusion about contracts, disclosure, licensing, financing, taxes, or the legality or availability of a transaction structure. The optional 70% ARV result is a screening rule of thumb only. It does not replace the separate itemized model for acquisition, rehabilitation, contingency, financing, holding, closing, selling, legal/transaction, other costs, wholesaler-partner allocation, and target profit, and neither output replaces deal-specific diligence and qualified professional advice.

9. ACCEPTABLE USE

You may not misuse the website, interfere with its operation, attempt unauthorized access, submit false or unlawful information, impersonate another person, upload malicious or unauthorized files, try to access another member's property or assigned deal, or use website content in violation of applicable law.

10. INTELLECTUAL PROPERTY

Unless otherwise stated, the website’s branding, written content, design, and original materials belong to Intent REI LLC and may not be reproduced or commercially used without written permission.

11. THIRD-PARTY SERVICES

The website, member authentication, CMS records, and private media workflow may use or link to services operated by Wix or other third parties. Those services are governed by their own terms and privacy practices. Intent REI is not responsible for the availability or content of an independently operated third-party service.

12. PRIVACY

The Intent REI Privacy Policy explains how information submitted through the website and private workspaces is handled. Please review that policy before providing personal information.

13. WEBSITE AVAILABILITY AND LIABILITY

The website is provided on an “as available” basis. Intent REI does not promise uninterrupted or error-free access. To the fullest extent permitted by law, Intent REI is not liable for indirect, incidental, special, or consequential losses arising solely from use of, or inability to use, this website. This section does not exclude liability or restrict rights that cannot legally be excluded or restricted.

14. CHANGES

Intent REI may update the website or these Terms from time to time. Updated Terms become effective when posted with a revised effective date.

15. GOVERNING LAW

These Terms are governed by the laws of the State of Washington, without limiting any rights available under applicable law.
